Once a contract is entered into, both the buyer and seller have a period of time to perform their respective due diligence. The buyer is entitled to review the books and records of the company. Likewise, you are entitled and encouraged to request proof-of-funds, perform a credit report, and otherwise qualify the buyer. If either party is not satisfied, the agreement can be cancelled provided the request is received prior to expiration of the due diligence period.
Throughout the purchase process, Business Advisors Network will help facilitate the exchange of information between you and the buyer. We do so without any independent investigation, and take no responsibility for the integrity, accuracy, completeness, or truthfulness of the information exchanged. You are required to rely solely on your own investigations, and are encouraged to seek assistance from CPAs, tax advisors, attorneys, and other professionals, as you deem necessary.
Once both parties are satisfied with their respective due diligence, you will sign a Contingency Removal form to signify your acceptance.
